These Terms of Use ("Terms") are an agreement between you and Nowcoin Digital LLC ("nowcoin", "we", "us", "our"), a technology company that develops digital and financial-technology products, nowcoin among them. They govern your use of Nowcoin Omega, the self-custody crypto-asset wallet that we publish as an Android app and a Chrome browser extension ("Omega").
Omega is separate from Nowcoin Lead Wallet, our custodial service, which has its own Terms of Service and its own Privacy Policy. These Terms do not apply to Nowcoin Lead Wallet, and those do not apply to Omega.
By installing or using Omega you confirm that you have read and accept these Terms and the Nowcoin Omega Privacy Policy. If you do not accept them, do not use Omega.
1. What Omega is
1.1 Self-custody. Omega creates your keys on your own device, and keeps them only there, encrypted with the password you choose. We never receive, see or store them. We cannot recover them, reset them, freeze them, or move any crypto-asset that you hold with them. Only you control your crypto-assets.
1.2 No account. You do not register, and you do not need a nowcoin account to use Omega. We do not know who you are, or which addresses are yours.
1.3 What Omega does. Omega lets you create a wallet or restore one from its recovery phrase, see the balances and history of your addresses, receive crypto-assets, send them, and, where the app offers it, connect to decentralised applications. All of this happens on your device. Omega reads the networks through public blockchain services, and sends the transactions you sign to them, directly from your device (section 5 and the Privacy Policy).
1.4 Supported networks. At the date of these Terms, Omega supports Bitcoin, Ethereum, BNB Smart Chain, Polygon, Base, TRON, Solana, Stellar and Bittensor, and the coins and tokens that the app shows on them. The list may change with an update.
1.5 Software, not a service. Omega is software. We do not hold, exchange, lend, transmit or otherwise handle your crypto-assets, and we do not provide any custody, exchange, brokerage or payment service through Omega. We are not a party to any transaction you make with it.
1.6 Links to Nowcoin Lead Wallet. "Buy on Nowcoin Lead" and "Exchange on Nowcoin Lead" are plain links that open nowcoin.xyz in your browser. Nothing is sent with them. Nowcoin Lead Wallet is a different service: you need a nowcoin account to use it, it holds crypto-assets for its customers, and it is governed by its own Terms of Service and Privacy Policy. If you use it, you do so under those, not under these.
2. Who can use Omega
2.1 You may use Omega only if all of the following are true:
- you are at least 18 years old and have full legal capacity to enter into a binding contract;
- you are not named on, or owned or controlled by anyone named on, a sanctions list maintained by the United Nations, the United States, the European Union, the United Kingdom or any other authority whose sanctions apply to us or to you; and
- using Omega is lawful for you where you live.
2.2 Omega has no account and no sign-up, so we cannot check any of this, and we cannot stop anyone from installing it. You are responsible for finding out whether using Omega is lawful where you are, including in a country or region subject to comprehensive sanctions, where you must not use it.
3. Your keys and your recovery phrase
3.1 Your recovery phrase. When you create a wallet, Omega shows you a recovery phrase: a list of ordinary words that can recreate your keys, and so your wallet, on any compatible device. Write it down, keep it offline and out of sight, and never photograph it or type it into a website. Anyone who has it, or your keys, can take everything in your wallet, and nobody can stop them.
3.2 We cannot help you get it back. We do not have your recovery phrase, your password or your keys, and nobody can recreate them for you. If you lose your recovery phrase and your device is lost, broken or reset, or you forget the password that protects your wallet and have no recovery phrase, the crypto-assets in your wallet are lost permanently.
3.3 We will never ask for them. We will never ask you for your recovery phrase, your password or your keys, in Omega or anywhere else. Anyone who asks, whoever they say they are, is trying to steal from you.
3.4 Your device. You are responsible for the security of the device and the browser you use Omega on: keeping them up to date, keeping malicious software off them, locking them, and deciding who has access to them. A device that is compromised can give your keys away.
4. Your transactions
4.1 Your instructions. To send crypto-assets you choose the coin or token, the network, the destination address and the amount, and you approve the transaction on your device. Omega shows you what it is about to sign before you do. You are responsible for making sure the address and the network are correct. Blockchain transactions cannot be reversed: once a transaction has been sent, neither we nor anyone else can recall it.
4.2 Network fees. Every transaction pays a network fee to the network, not to us. Omega shows an estimate before you confirm, which it works out from figures the public blockchain services return. The estimate may differ from what the network charges, and the fee can be high when a network is busy. We charge no fee for Omega or for any transaction made with it.
4.3 Addresses and networks. Send only the coins and tokens a network supports to an address on that network. Crypto-assets sent on another network, or to an address that cannot receive them, may be lost permanently, and we cannot recover them.
4.4 Delays and failures. A transaction can be delayed, can fail, or can be replaced or dropped by the network. The status Omega shows comes from public services and can be late or wrong.
4.5 Balances and prices. The balances, prices and values Omega shows are read from blockchain networks, on-chain price feeds and public services. They are indicative only, may be delayed or inaccurate, and are not an offer to buy or sell at any price. Nothing in Omega is investment, financial, legal or tax advice, and you are responsible for any taxes that apply to your transactions.
5. Third-party services and decentralised applications
5.1 Public blockchain services. Omega reads the networks, and sends your transactions to them, through public services run by other organisations, listed in the Privacy Policy. We do not run or control them. They may be slow, wrong or unavailable, may limit how much you can ask, and can see the requests the app sends them, including your device's IP address.
5.2 Decentralised applications. Where Omega offers it, you can connect it to a decentralised application ("dApp"). On Android the connection goes through WalletConnect's relay, which is operated by Reown; in Chrome, the extension adds a wallet provider to the web pages you open over https, so that any such page can ask to connect, and a website you connect to talks to the extension directly in your browser. Omega shows what a request would do before you approve it, and once you approve it, it is your transaction. We do not review, operate or endorse any dApp, token or contract. A dApp that you approve can empty your wallet, and a request you approve without understanding it can lose you everything it touches.
5.3 Tokens. Anyone can create a token with any name or picture. What Omega shows for a token is what the network says, and is not a statement that the token is genuine or safe.
6. Risks you accept
You understand and accept that:
- the value of crypto-assets other than stablecoins, such as BTC, ETH and TAO, can rise and fall sharply and quickly, and you may lose some or all of it;
- a stablecoin is only as stable as its issuer and the reserves behind it, and may lose its peg to the currency it tracks, be frozen by its issuer, or be redeemable for less than its face value;
- blockchain networks can be congested, forked, attacked or halted, and smart contracts, bridges, price feeds and other third-party services can fail;
- software has faults. We take care over Omega, but we cannot promise that it is free of them, or of the faults of the operating system, the browser and the services it depends on;
- the laws that apply to digital assets are changing, and may affect whether Omega can be offered or used where you live;
- you may lose crypto-assets that you send to a wrong address or on a wrong network; and
- Omega is not a bank account. Crypto-assets, including stablecoins, are not legal tender, are not bank deposits and are not protected by any government deposit-insurance scheme, and nobody insures what your wallet holds.
7. What you must not do
You must not use Omega to:
- break any law, including laws on money laundering, terrorist financing, sanctions, fraud and tax evasion;
- receive or send the proceeds of crime, or transact with anyone who is subject to sanctions;
- interfere with or disrupt Omega, or reverse-engineer it, except where the law allows you to; or
- offer a modified copy of Omega as ours, or use the nowcoin name or logo to suggest that you are us.
8. The licence, and where to get Omega
8.1 Licence. We grant you a personal, non-exclusive, non-transferable, revocable licence to install and use Omega on devices you own or control, under these Terms. Omega, including its software, design, text, images and trademarks, belongs to us or our licensors. Parts of it may be open-source software, which you may use under the licences that come with it.
8.2 Get it from us. Download Omega only from nowcoin.xyz (or, when we publish them, the app stores' and Chrome Web Store pages that nowcoin.xyz links to). Each download there shows its SHA-256 checksum, so you can compare it with the file you have. A copy from anywhere else may be altered to steal your keys.
9. Updates and availability
We may update, change, suspend or stop offering Omega at any time. Because your crypto-assets stay on the blockchain and under your keys, whether or not Omega is available, a change or an end to Omega does not take them away. With your recovery phrase you can usually restore your wallet in another wallet that supports the same networks, although we cannot promise that any other wallet will.
10. Your personal data
Omega sends nothing about you to us. How your data is handled when you use Omega is explained in the Nowcoin Omega Privacy Policy, which forms part of these Terms.
11. Disclaimer
Omega is provided "as is" and "as available". To the fullest extent the law allows, we give no warranty, express or implied, including that Omega will be uninterrupted, error-free or secure, that it will suit your purposes, or that anything it reads from a third party is accurate.
12. Our liability
12.1 Nothing in these Terms excludes or limits any liability that cannot be excluded or limited by law, including liability for fraud, or for death or personal injury caused by negligence, or any right you have as a consumer under mandatory law.
12.2 Subject to section 12.1, we are not liable for losses caused by your breach of these Terms, by your own mistakes (including sending to a wrong address or on a wrong network, approving a request you did not understand, or losing your recovery phrase or password), by the compromise of your device or browser, or by anyone else who obtains your keys; for changes in the value of crypto-assets; for the acts or omissions of stablecoin issuers, blockchain networks, the public services Omega reads, dApps, WalletConnect's relay or other third parties; or for any indirect or consequential loss, or loss of profit.
12.3 Subject to section 12.1, and because we charge nothing for Omega and hold none of your crypto-assets, our total liability to you for all claims relating to Omega is limited to 100 US dollars.
13. Indemnity
If you break these Terms or the law in using Omega, you agree to compensate us for the reasonable losses and costs we incur as a result, to the extent the law allows.
14. Changes to these Terms
We may change these Terms. Omega has no account, so we cannot write to you: we publish the new version at this address, with its date, and where we can, we say so in the app. A change that matters takes effect no earlier than 30 days after we publish it, unless the law or security requires it sooner. If you do not agree to a change, stop using Omega before it takes effect; if you keep using Omega after that, you accept it.
15. Ending
You may stop using Omega at any time by deleting it. Your crypto-assets are not affected: they stay on the blockchain under your keys, so keep your recovery phrase. We may end your licence if you seriously break these Terms. The sections that by their nature continue to apply, including sections 11 to 13, continue after Omega is deleted or the licence ends.
16. Governing law and disputes
These Terms are governed by the laws of the jurisdiction in which Nowcoin Digital LLC is organised, and the courts of that jurisdiction decide any dispute. If you are a consumer, you may also bring proceedings in the courts where you live, and you keep the protection of the mandatory laws of your country of residence.
17. General
17.1 These Terms and the Nowcoin Omega Privacy Policy are the whole agreement between you and us about Omega.
17.2 If any part of these Terms is found to be invalid or unenforceable, the rest remains in effect.
17.3 We may transfer our rights and obligations under these Terms to another company as part of a reorganisation or sale of our business. You may not transfer yours without our written consent.
17.4 If we do not enforce a right, or delay doing so, we have not waived it.
17.5 These Terms are written in English. Translations are provided for your convenience; if a translation differs from the English version, the English version applies unless mandatory law requires otherwise.
